TERMS AND CONDITIONS

Authorization

The above named Client is engaging STATUS, LLC, herein known as “Contractor”, a sole proprietor located in the District of Columbia, as an independent contractor for the specific purpose of developing and/or redesigning or improving a website. The Client hereby authorizes the web hosting service to provide the Contractor with full access and permission to the clients’ web hosting directory and any other programs and directories which may be needed for this project. The client also authorizes the Contractor to publicize their completed website to the search engines and other web directories as well as display on Contractors’ website portfolio as an example of their work.

Copyright and Ownership to the finished and assembled work of webpages and graphics produced by the Contractor shall be vested with the client upon final payment of the project. This ownership is to include the design, photos, graphics, source code, text and any software purchased or designed specifically for the client for completion of this project.


STATUS reserves only the right to display its logo and hyperlink on the bottom of the website as long as it is at least 60% of the creation of the Contractor. STATUS also reserves the right to display the design on the Contractors’ website as an example of their work. The client represents to the Contractor and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks or artwork furnished to STATUS for inclusion into the client website are owned by the client, or that the client has permission from the rightful owner to use each of these elements and will hold

 

Contractor and its contractors harmless from any claim or suit arising from the use of such elements supplied by the client. payment and cancellation A minimum deposit of (50) fifty percent is required to commence work.

If contract amount is (1000) one thousand dollars or less, then a deposit amount of (500) five hundred dollars is required. The remaining balance must be paid once the project has reached (90) ninety percent. Any training and access to the server will be released after final payment is made to Con-tractor. The Company shall pay Contractor for such services no later than ten (10) business days after receipt of the Contractor’s monthly invoice for services rendered supported by reasonable documentation.  

The Company specifically warrants and represents that it will not unreasonably delay in compensating Contractor for services provided under this Agreement. The Company will not make any tax withholding or employment tax payments relating to the Contractor.

 

STATUS gives the client the right to terminate this agreement within (30) days of signing by both parties.

 

Termination must be delivered by registered letter to the Contractor at the address listed on the first page of this agreement. In the event the client terminates the agreement, work completed by the date of receipt of termination will be billed at the hourly rate of (75) seventy-five US dollars and hour, deducted from the deposit and the balance of deposit, if any, will be returned to the client. Any and all disputes related to and/or arising out of this Agreement  shall be governed by the laws of the District of Columbia, without regard to conflicts of law.  

 

Any and all disputes arising out of or related to this Agreement shall be adjudicated in a court of competent jurisdiction in Louisiana. support and warranty It will be understood that after completion of the client website there will be (2) months of free website maintenance. This will include minor maintenance to web pages (not store products, or product pages), updating inline links, and minor copy and text changes. Any changes or maintenance needed beyond the scope of this agreement will be billed at the hourly rate and subject to client approval before work will commence.

 

STATUS, LLC does offer discounted Monthly Maintenance Packages for clients who anticipate frequent changes to images, text and content to their website. Designer and the Client must work together to complete the Web Design Project in a timely manner. We agree to work expeditiously to complete the Web Design Project as quickly as possible upon receipt of Clients text and graphic materials. We are not responsible for delays due to Client not responding in a timely manner to email questions that slow the completion of the website.

 

STATUS reserves the right to assign certain subcontractors to this project to insure the completion of the project in a timely manner. STATUS warrants all work completed by subcontractors or employees. If a subcontractor is required, STATUS will only use industry specific professionals.
